Employee-Owned Consulting Firm Arthur D. Little Finds Buyer, Files for Bankruptcy

BOSTON (AP) -- Employee-owned Arthur D. Little, a 115-year-old consulting firm that has been looking for a buyer, filed for Chapter 11 bankruptcy protection Tuesday after agreeing to sell itself to a New York investment firm.
The Boston-based firm said it had agreed to a $71 million buyout offer from ADL Acquisition, an affiliate of Cerberus Capital Management. The announcement came three weeks after plans to sell to two other venture capital firms fell through.
Chief executive Pamela McNamara, on the job less than a year, also planned to step down but will remain on the board.
The firm said it filed for protection from its creditors under the federal bankruptcy laws. The sale will now be subject to approval of a bankruptcy court.
The court would likely conduct an auction, which would not guarantee that Cerberus would end up with the consulting firm.
``As part of the restructuring process, the company will be able to clean up its balance sheet and position itself for further growth while it continues to deliver excellent results for its clients worldwide,'' McNamara said.
The firm also announced it had secured $68 million in debtor in possession financing and would continue operations during the bankruptcy.

BOSTON (AP) -- Employee-owned Arthur D. Little, a 115-year-old consulting firm that has been looking for a buyer, filed for Chapter 11 bankruptcy protection Tuesday after agreeing to sell itself to a New York investment firm.
The Boston-based firm said it had agreed to a $71 million buyout offer from ADL Acquisition, an affiliate of Cerberus Capital Management. The announcement came three weeks after plans to sell to two other venture capital firms fell through.
Chief executive Pamela McNamara, on the job less than a year, also planned to step down but will remain on the board.
The firm said it filed for protection from its creditors under the federal bankruptcy laws. The sale will now be subject to approval of a bankruptcy court.
The court would likely conduct an auction, which would not guarantee that Cerberus would end up with the consulting firm.

``They were viewed not only as the precursor
of IT consulting, but the grandfather of the
consulting era,'' said Marshall Cooper,
executive editor of Consultants News, an
industry newsletter.
``They didn't do the latest and hottest
thing; they stuck to their knitting and had
real technical expertise. It served them well
for a long time.''
But the company failed to take advantage of
the technology boom that helped other consultancies
in recent years. It acknowledged early last year
that it was having trouble paying bills.
Last January, it canceled plans to spin off
some of its high-tech practices
into a company called C-Quential,
and in February it fired Chief Executive Officer Lorenzo Lamadrid.
Last month, a deal to sell the company to
two venture capital firms collapsed, and
it began looking for a new buyer. The company
reportedly told employees that its privately
traded shares had lost 97 percent of their value.
Consultants News ranks the firm as the 28th
largest consultancy with $600 million in
annual revenue, a little over one-third of it from the U.S.

merger attempts and recently stalled investment talks.
The firm’s largest creditors include ESOP payments of over $4.4 million,
former CEO Lorenzo Lamadrid’s $2.3 million settlement, $1.8 million due to
Deloitte & Touche and $210,000 owed to KPMG, according to documents filed in
U.S. Bankruptcy Court in Delaware.
The firm’s revenue shrank by 17% in 2001, to about $500 million in 2001.
ADL’s total headcount has shrunk from approximately 2,500 people in June
2000 to about 2,150.

2chでほめられるとろくなことがないな。
しっかし、コンサル会社がつぶれることほど
